Affiliates Terms & Conditions
1. General
The purpose of these Affiliates’ Terms and Conditions is to ensure that you are aware that the affiliate program is solely controlled and operated by us and to list the complete terms and conditions for one’s involvement.
By applying to become an affiliate, you agree to comply with all the terms and conditions stated below.
2. Length of Agreement
This Agreement will commence upon our acceptance of your affiliate application and will remain in effect until terminated by either party. Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party.
3. Campaign Restrictions
Restrictions include brand bidding, fraud, incentive traffic, spam, and traffic from hacked resources. In the case of brand bidding, we reserve the right to block your account and reset any payment due to you.
4. Commission Rules
Every user drawn to Spiritual Blossom as a result of your promotion will earn you a minimum of $85 for the first deposit only. Affiliates that promote on Social Media only will get $40 per sale, for the first deposit.
You are not allowed to earn a commission on your own purchase of our products, and you may not allow a family member, or a member of your household, to make purchases using your own link. Commission earned this way will be void, and your Account may be terminated.
We may hold on to your user cookies for 30 days after termination.
All the data, sales, and commission calculations in the system will be calculated according to the UTC+00 time zone.
5. Subscription Fees
We alone are responsible for tracking your new user sales and we will provide you with statements of sale activity. However, personal information will be kept private and will not appear on the affiliate report.
6. Changes
At any point, we may post a notice, which can contain modifications to these Terms. These modifications can include any changes that are within reason, such as a change in payment procedures. If these changes are not to your liking, you must terminate the agreement. If you continue to participate after we have notified you of the changes, this indicates that you have accepted these changes.
7. Independent Investigation
By reading these Terms, you accept that you agree to all terms herein. You are allowed to operate competing sites on your own or to ask users for referrals. You accept that you have personally assessed the merits of participating, and you do not rely on any guarantees not stated in this agreement.
8. Liabilities
We take no responsibility or liability for damages or loss of revenue or data regardless of how caused that may come up while you are partaking in this agreement, including, but not limited to, failure to schedule an appointment, failure to provide timely results, mistakes in results, etc. This applies even if we were advised of these potential damages. Regardless of the above, our liability shall never exceed the total referral fees that have been paid to you during the six months prior to any such claim.
9. Invoice
During registration, you can choose if you want to generate an invoice yourself or have us do it on your behalf. If you choose to generate the invoice yourself, you will have to do so by the end of the current month, for sales made in this (current) month.
If you choose the invoice to be generated by us, we will issue one for you by the end of the current month and the name on the invoice will be taken from the name you have defined under "Company Name" in your Account Details.
We won't issue an invoice for Israeli companies or private individuals and they must issue an invoice themselves with the addition of 17% VAT, if it is a receipt (Osek Pator), it is not necessary to add VAT.
10. Payment
Payments for commissions earned in the current month will be made by the 20th day of the following month. For example, if, in January, you earned $100, we will pay you by February 20, and at most until the end of February.
If you choose to generate an invoice yourself, the sooner you send it to us, the faster we will make the payment.
11. Refunds
If a new user spends money for which you earn a referral fee, but then later chooses to refund their payment, or their check does not clear, this fee will be deducted from your next monthly payment.
Refunds can be taken back up to 10 months in case the refund was a regular payment refund.
If the refund is from a Dispute type, there is no limit to when we can take the commission back from you.
12. Authority
You must be aware that at all times you are a contractor working independently of us. You may not act on our behalf, and this agreement does not imply any form of partnership or employment relationship between you and us.
13. Copyright
You alone are responsible for attending to this. Your logo and corresponding text must abide by copyright laws. If you use another party’s copyrighted material, you must have permission. We are not responsible for your ability to ensure this is upheld.
14. Price
The prices of our services are solely determined by us and are subject to change without prior notice.
15. Email Stipulations
The Controlling the Assault of Non-Solicited Pornography and Marketing Act, also known as the CAN-SPAM Act, codified at 15 U.S.C. Sec. 7701 (the "Act"), applies to this situation. You must acknowledge that you are totally aware of the requirements of this Act and agree to comply with it. You must also agree to send only links, banners, and/or advertisements approved by us to relevant targets and opted-in contacts, and must send them only from the affiliate’s registered domain.
16. Reasons for Rejection
We reserve the right to reject any affiliate application or terminate an affiliate's participation in the Program if their website does not align with our business principles or promotes violence, discrimination based on race, sex, religion, nationality, disability, sexual orientation, age, illegal activities, pornography or for any other reasons deemed to be reasonable by us.
This manner of termination will mean you must forfeit any accumulated unpaid commission.
17. Site Qualification for Affiliates using Integrated Shopping Cart Product
Your page(s) that contain the iframe require an HTTPS/SSL. Whenever there is private customer data on the site, HTTPS must be used. It is recommended as follows:
Maintaining secure systems: This involves systems such as passwords, patching, anti-malware, access control, configuration, and more when they pertain to the operating systems associated with the website.
Maintaining secure networks: You must have appropriate firewalls in place that utilize secure configuration and should cover the secure configuration of any other network devices associated with the website.
Maintaining the secure application: In order to secure the application, you should use secure coding practices.
Occasional testing: You should conduct penetration tests and/or scan your website using industry-standard options and methods regularly so that you may detect common weaknesses. See below for a list of tools for scanning vulnerabilities available.
18. Legality
These Terms and the relationship between You and Us shall be governed by, and construed and interpreted in accordance with, the laws of the State of Israel, and You irrevocably submit to the exclusive jurisdiction of the competent courts of Tel Aviv-Jaffa, with respect to any dispute regarding the validity, breach, interpretation, performance or otherwise arising out of or in connection with these Terms and the relationship between You and Us.
19. Mutual Confidentiality
Any information agreed upon as confidential must remain so between the two parties. We will not, and therefore you must not divulge to any person, entity, or company, or use for your own or someone else’s benefit, any information, understanding of business methods and techniques, knowledge, or customer data.
20. Disclaimer
We make no guarantee, warranty, or condition we cannot uphold regarding you and the program. Only the agreements that have been detailed here are to be agreed to. Any implied warranty that may arise out of the course of performance is not such a warranty.
21. Incentives
You cannot offer incentives to acquaintances or different people. If we catch you doing so, you will be expelled from the affiliate program permanently and the commission money in your account will be deleted in favor of us.
